2. Who can Play

To be eligible for this contest, an individual must be: (i) legal residents of Canada or the United Sates, excluding the province of Quebec (ii) the age of majority in their province or state of residence at the time of entry. Void where licensing is required or where sweepstakes are prohibited by law. Employees and agents of Roots Canada Ltd. and its affiliates, subsidiaries, advertising and promotional agencies, any other prize sponsor, (‘Sponsors’) and any entity involved in the production implementation, administration or fulfillment of the contest (‘Administrator’), and those living in the same household as such individuals are not eligible to participate or win prizes. By entering the Contest, participants agree to release, discharge and hold harmless the Sponsors, their affiliates, subsidiaries, officers, directors, employees and agents from any and all damages, costs, expenses, and other liabilities, including damages for personal injury or damage to property, whether the damages are direct or indirect, and regardless of whether the claim is based on contract, tort or any other legal theory, which may be due to or arise out of participation in the Contest or any portion thereof or the acceptance, use/misuse or possession of the prize. By participating, the entrant agrees to the Official Contest Rules and to the decisions of the Sponsors being final and binding in all respects. Void where prohibited by law, rule or regulation. All federal, provincial/state and local laws and regulations in Canada and the United States apply. Limit: Each participant may play the Instant Win Game one (1) time per day, and may earn at most one (1) entry into the Contest during the Contest Period. Multiple entrants are not permitted to share the same email address. Any attempt by any entrant to obtain more than the stated number of plays/entries by using multiple/different email addresses, identities, registrations and logins, or any other methods will void that entrant's plays/entries and that entrant may be disqualified. Use of any automated system to participate is prohibited and will result in disqualification. Sponsor is not responsible for lost, late, incomplete, invalid, unintelligible or misdirected registrations, which will be disqualified. In the event of a dispute as to any registration or play, the authorized account holder of the email address used to register will be deemed to be the registrant or player. The “authorized account holder” is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address. Potential winners may be required to show proof of being the authorized account holder.

3. Contest Period

·      Contest begins November 15, 2007 and closes January 28, 2008 at 1:00 AM EST (‘Contest Period’). Administrator’s computer is the official time keeping device for this Promotion. ·      The contest is comprised of multiple drawings. ·      Weekly Drawing: ·     11 (eleven) random weekly, computer-generated winning times, 1 (one ) per week, will be generated during the Contest Period. If you are the first player to enter the contest at or after one of the randomly generated times, you will be a potential instant winner of the prize indicated depending on eligibility. The first week will begin November 15, at 1:01  AM EST and will close 7 (seven) days later at 1:00 AM EST . Upon the close of this period a new prize will be eligible to be won. ·      Monthly Random Drawing: ·      There will be three (3 ) drawings from all entries received during the following periods, each period begins at 1:01  AM EST on the first day and closes at 1:00 AM EST the last day of the period listed below ·      November 15, 2007 to December 1, 2007 ·      December 1, 2007 to January 1, 2007 ·      January 1, 2007 to January 28, 2007 ·      All entries must be received no later than 1 pm EST the day following the close of any given drawing period ·      A random draw for the Prizes will be held from all eligible entries approximately the third business day following the close of a drawing period at approximately 2pm EST at the ROOTS offices in Toronto, Ontario. ·      Selected entrants will be contacted by email within 48 hours of the draw at the email address provided on the entry form.

4. Prizes

There are 14 (fourteen) prizes available to be won. The Prizes consist of: ·      Weekly Prizes: ·      There will be 11 (eleven) weekly prize drawings for a $50 CAD Roots Gift Card valid at any Canadian Roots or Roots 73 Outlet location. Separate arrangements may be made to redeem the prize on Roots.com. ·      Monthly Prizes: ·      There will be 3 (three) monthly prize drawings for a $500 CAD Roots Gift Card valid at any Roots or Roots 73 Outlet location. Separate arrangements may be made to redeem the prize on Roots.com.

5. Playing by the Rules

By entering the Contest, contest entrants agree: ·      To abide by the Contest rules. ·      To accept the prize as awarded. ·      That the Sponsors and their affiliated companies, agents and partners are not responsible for any liabilities, damages or expenses arising out of or in relation to the prize(s) awarded. ·      That all decisions of the Sponsors regarding the Contest are final. ·      Contest winners must, if requested by the Sponsors, sign a Declaration and Release prepared by the Sponsors and consent to the use of their name, address and/or photograph in any publicity carried out by the Sponsors and/or their affiliated companies, agents or partners, without any other payment or compensation, before being entitled to receive the prize.

6. Terms for the Winners

·      The prizes are non-transferable and non-redeemable in whole or in part for cash. ·      All applicable taxes, duties and other similar charges are not included and are the responsibility of the Contest winners. ·      Prizes not claimed within 30 days of email notification by ROOTS that a Contest entrant has been selected are forfeited and the Sponsors have no obligation to select an alternative prize winner. ·      All winners by accepting the Prize as awarded, releases the Sponsors, and their respective parent, subsidiaries and/or affiliated companies, their directors, officers, employees, agents, affiliates and the independent judging organization, if any, with regard to any claims for, without limitation, injury, accident, loss or damage of any kind arising out of participation in this promotion or acceptance of prizes as awarded. ·      ALL POTENTIAL WINNERS ARE SUBJECT TO VERIFICATION BY SPONSORS OR ADMINISTRATOR, WHOSE DECISIONS ARE FINAL AND BINDING IN ALL MATTERS RELATED TO THE PROMOTION.AN ENTRANT IS NOT A WINNER OF ANY PRIZE, EVEN IF CONTEST SHOULD SO INDICATE, UNLESS AND UNTIL ENTRANT’S ELIGIBILITY, AND THE POTENTIAL CONTEST WINNER HAVE BEEN VERIFIED AND ENTRANT HAS BEEN NOTIFIED THAT VERIFICATION IS COMPLETE. SPONSOR WILL NOT ACCEPT SCREEN SHOTS OR OTHER EVIDENCE OF WINNING IN LIEU OF ITS VALIDATION PROCESS. ANY PLAY THAT OCCURS AFTER THE SYSTEM HAS FAILED FOR ANY REASON IS DEEMED A DEFECTIVE PLAY AND IS VOID AND WILL NOT BE HONORED.

7. Disputes

Except where prohibited, entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Contest or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate Ontario Provincial Court located in Toronto, Ontario; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Contest, but in no event attorneys’ fees; and (3) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Promotion, shall be governed by, and construed in accordance with, the laws of the Province of Ontario, without giving effect to any choice of law or conflict of law rules (whether of the Province of Ontario or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the Province of Ontario.

8. General Rules

The Sponsors shall not be liable for lost, late, incomplete, misdirected, not received, stolen, mutilated or illegible entries. By entering this drawing, entrants accept and agree to be bound by these rules and the decisions of the Sponsors and independent judging organization, if any, which are final, binding and conclusive on all matters relating to this contest. All entries become the property of the Sponsors, none will be returned and no correspondence will be entered into except with selected entrants who will be notified by telephone or e-mail. The Sponsor reserves the right to disqualify all entrants who fail to follow these official rules and regulations or who make any misrepresentation relating to the contest, drawing and redemption of the Prize awarded. This contest is subject to all applicable Federal, Provincial and Municipal legislation. Entry constitutes permission to use the winner's name, photograph and/or voice recording for publicity purposes without additional compensation or permission, except where prohibited by law. At Roots Canada Ltd., we are committed to respecting your desire for privacy. Any personal information that we gather will remain confidential in our system. Please note that by submitting personal information to Roots Canada Ltd., you consent to our use as described above. Taxes (if applicable) on the prizes are the sole responsibility of the winner. Winner may not substitute or transfer the prize. Sponsors reserve the right, at its sole discretion to modify or make changes to this contest, as circumstances require.   Entries are subject to verification and will be declared invalid if they are illegible, incomplete, mechanically reproduced, mutilated, forged, falsified, altered or tampered with in any way.
